1. TERMS OF USE AND MODIFICATIONS:

(1) The PSOFT Downloads and Services are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the PSOFT Downloads and Services constitutes your agreement to all such terms, conditions, and notices;
(2) in the event that any of the terms, conditions, and notices contained herein conflict with other terms and guidelines contained within any PSOFT Downloads and Services, then these terms shall control; and
(3) PSOFT reserves the right to change the terms, conditions, and notices under which the PSOFT Downloads and Services is offered. You are responsible for regularly reviewing these terms and conditions and additional terms posted on the Site. Your continued use of the PSOFT Downloads and Services constitutes your agreement to all such terms, conditions, and notices.

2. USE AND MANAGEMENT OF USER ID AND PASSWORD:

(1) You bear the responsibility of managing your user ID and password.
(2) If, due to an inadequate management of your user ID and password, you suffer damages due to a usage fault or access by a third-party, you shall bear the full responsibility for such damages, and PSOFT shall not be held liable in any way.
(3) If you identify that a third-party is using your user ID and password, you shall inform PSOFT immediately and follow the instructions given to you, if any.

3. USER CONDUCT:

(1) not to disrupt or interfere with any other user's enjoyment of the Site or affiliated or linked sites;
(2) not to upload, post, or otherwise transmit through the Site any viruses or other harmful, disruptive, or destructive files;
(3) not to create a false identity;
(4) not to use or attempt to use another's account, password, service, or system without authorization from PSOFT; and
(5) not to disrupt or interfere with the security of, or otherwise cause harm to, the Site, or any services, materials, system resources, accounts, passwords, servers, or networks connected to or accessible through the Site or any affiliated or linked sites.

4. TRADE OF MERCHANDISE:

(1) Goods shall be sold to customers who agree to the terms of this agreement as well as the other agreements decided by PSOFT.
(2) Product use is limited to the customer who bought the product from PSOFT.
(3) You shall not, under any circumstances, resell the products to a third-party or otherwise use PSOFT Downloads and Services for commercial purposes.

5. TEMPORARY SERVICE INTERRUPTION

(1) System maintenance or other work on the system.
(2) Operation of the PSOFT Downloads and Services is impossible due to a natural disaster or some other state of emergency.
(3) PSOFT deemed necessary to interrupt temporarily the PSOFT Downloads and Services.

6. ABOLITION OR TRANSFER OF THE SERVICE:

(1) PSOFT shall notify the users of the system in advance, by email as well as by a notice on the Site, if the PSOFT Downloads and Services system is abolished in full or in part.
(2) In the eventuality of a full or partial transfer of the operations of the PSOFT Downloads and Services system by PSOFT to a third-party, the users of the system shall be notified in advance by email as well as by a notice on the Site and all rights and obligations owned by PSOFT based on this agreement shall be made transferable. You acknowledge that in such a case, all rights and privileges owned by PSOFT shall be transferred and that the registered personal information and other information shall be disclosed to the inheriting party.

7. PRIVACY POLICY:

8. LIABILITY DISCLAIMER:

(1) PSOFT makes no representations about the suitability, reliability, availability, lack of viruses or other harmful components and accuracy of the information, software, products and services contained within the PSOFT Downloads and Services;
(2) PSOFT does not control, endorse, or accept responsibility for any content, products, or services offered by third parties through the site, including, without limitation, third-party vendors and third parties accessible through links on the site;
(3) any dealings you may have with such third parties are at your own risks;
(4) PSOFT shall not be liable or responsible for any content, products, or services offered by third parties;
(5) if you are dissatisfied with any portion of the PSOFT Downloads and Services, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the PSOFT Downloads and Services;
(6) you agree that PSOFT may establish limits concerning use of any PSOFT Downloads and Services on the Site;
(7) you agree that PSOFT has no responsibility or liability for the corruption, deletion, or failure to store any messages or other content maintained or transmitted by any PSOFT Downloads and Services; and
(8) PSOFT makes no warranty that any PSOFT Downloads and Services will be uninterrupted, timely, secure or error-free.

9. TERMINATION AND ACCESS RESTRICTION:

(1) PSOFT reserves the right, in its sole discretion, to terminate your access to any or all PSOFT Downloads and Services on the Site and the related services or any portion thereof at any time, without notice and
(2) upon termination of the PSOFT Downloads and Services, your right to use the PSOFT Downloads and Services immediately ceases.

10. NOTIFICATIONS:

(1) PSOFT shall consider that a notice reached you after an appropriate period of time has passed since sending the notice using one of the following methods:
1. By displaying the notice on the log-in screen or on the Site.
2. By transmitting the notice to all customers simultaneously.
(2) PSOFT shall not be considered responsible for any prejudice incurred to you due to your failure to check your email or the Site.

11. LANGUAGE:

This agreement shall be executed in the English language and in the Japanese language, but in the event of inconsistency or difference between two versions of this agreement, the Japanese version shall prevail in all respects.

12. GENERAL:

This agreement is governed and interpreted under the laws of JAPAN. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and PSOFT with respect to the PSOFT Downloads and Services. In the event a dispute arises under or in connection with this agreement, you hereby consent to personal jurisdiction of the district court of Sendai, Japan and waive any objection that such forum is inconvenient. If any provision of this agreement shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this agreement will remain in full force and effect.
